Empower Boxing Club — Membership Terms & Policies
(d/b/a of Sunnyside Boxing Club LLC)
This Membership Agreement ("Agreement") is entered into between Sunnyside Boxing Club LLC, d/b/a Empower Boxing Club ("Club," "we," or "us"), and the individual who completes checkout and purchases a membership or private training package on our website (the "Member," "you," or "your"). This Agreement governs Member's use of the Club's facilities, classes, and services and becomes effective at the moment of purchase.
By checking the agreement box at checkout, you are entering into this Agreement and agreeing to be bound by its terms, as described further in the Electronic Agreement section at the end of this document.
1. Membership Plans
The Club offers the following monthly membership plans, billed at the rate shown at checkout for the plan you select:

Foundation — up to 4 classes per calendar month

Level Up — up to 8 classes per calendar month

No Limits — unlimited classes per calendar month
Your plan, monthly rate, and billing date are set at checkout and shown on your purchase confirmation and account dashboard.
Membership class credits are valid only during the applicable billing cycle and DO NOT roll over to future months. Any unused credits expire at the end of the current billing period and have no cash value. Expired credits cannot be reinstated, refunded, transferred, or applied to a future billing cycle unless otherwise required by law or approved by Empower Boxing Club in its sole discretion.
2. Private Training Packages (if applicable)
If you separately purchase 1-on-1 private training sessions, the following additional terms apply:

Private training sessions are sold in pre-paid packages and are non-refundable once purchased, except as required by law.

Sessions must be cancelled or rescheduled at least twenty four (24) hours before the scheduled start time. Cancellations made less than twenty four (24) hours in advance, or missed sessions ("no-shows"), will be charged the full session rate and deducted from your package.

Unused sessions expire three (3), six (6) or nine (9) months (depending on package) from the date of purchase unless otherwise stated in writing by the Club.
3. Billing, Auto-Renewal, Cancellation and Freeze Policy

Monthly memberships are billed in advance on your billing date each month via the payment method on file.

This Agreement automatically renews each month on your billing date for successive one-month terms, at the then-current rate for your selected plan, until cancelled in accordance with this Section.

You may cancel at any time. To avoid being charged for the next billing cycle, you must submit a cancellation request before your next scheduled billing date. Cancellation requests must be submitted in writing (email or the Club's designated cancellation form). Cancellations submitted on or after a billing date will take effect the following cycle, and the cycle already billed will not be refunded.

The Club reserves the right to change membership rates with at least thirty (30) days' written notice (including by email) before the change takes effect on a future billing date.

Failed or declined payments may result in a temporary suspension of access to classes and facilities until payment is resolved. The Club may apply a reasonable processing fee for failed payments, consistent with Colorado law.

Members may freeze their membership for a minimum of three (3) weeks and a maximum of two (2) months per calendar year. Requests must be submitted at least seven (7) days before the desired freeze date. Memberships will automatically reactivate on the scheduled return date. Membership freezes are intended for temporary situations such as injury, travel, or other approved circumstances. Freeze requests cannot be applied retroactively, and no refunds will be issued for unused time prior to the request.
4. Membership Use and Club Rules

Membership is personal to the Member and is non-transferable.

Member agrees to follow all posted Club rules, verbal instructions from Club staff and coaches, and safety procedures at all times, including during partner drills, mitt work, and sparring.

The Club reserves the right to refuse service, suspend, or terminate membership for conduct that endangers the safety of any person, violates Club rules, or is abusive toward staff or other members, with or without refund of unused fees as appropriate to the circumstances.

Class schedules, instructors, and programming may change at the Club's discretion. The Club will make reasonable efforts to notify members of significant schedule changes.
5. Open Gym Access (Unsupervised Hours)
Membership includes access to the Club facility outside of staffed class hours ("Open Gym") via an individually assigned access code. Open Gym access is subject to the following rules:

No staff or coach is present during Open Gym hours. Open Gym is for solo training only — heavy bag, speed bag, conditioning, shadow boxing, and individual skill work. Sparring, partner-held mitt work, and any other partner-based contact drills are prohibited during unsupervised Open Gym hours and are permitted only when a Club coach or staff member is present.

Your access code is for your personal use only. You may not share your access code, admit any other person into the Club using your code, or bring a guest into the Club during Open Gym hours. Violation of this policy may result in suspension or termination of membership without refund.

You are responsible for following all posted Open Gym safety procedures, including securing the premises if you are the last person to leave, in accordance with Club instructions.

The Club maintains security cameras on the premises, which may record activity during Open Gym hours for safety and security purposes.

Use of the Club during Open Gym hours is governed by the same Assumption of Risk, Release of Liability, and Waiver referenced in Section 6 below, which applies fully to unsupervised use of the facility.
6. Assumption of Risk and Release of Liability
Boxing, mitt work, partner drills, sparring, and unsupervised Open Gym training carry inherent risk of injury. Before attending your first class or receiving an access code, you must separately read and sign the Club's Assumption of Risk, Release of Liability, and Waiver document. That document is incorporated into this Agreement by reference, and your membership purchase does not grant access to Club facilities or classes until it has been completed.
7. Health Disclosure

By purchasing a membership, you represent that you are voluntarily participating in physical activity and that, to the best of your knowledge, you are physically able to participate in boxing fitness classes, partner drills, and sparring.

You agree to inform Club staff of any injury, medical condition, pregnancy, or physical limitation that could affect your ability to safely participate, before each class or session in which it is relevant.

The Club may, at its discretion, request a physician's clearance before permitting participation in sparring or contact training.
8. Photo and Media Release
By purchasing a membership, you grant the Club permission to use photos or video taken of you during Club activities for the Club's marketing, social media, and promotional purposes, without compensation. If you do not consent to this use, contact us in writing at [email/contact info] and we will exclude you from such use going forward.
9. Limitation of Liability
To the maximum extent permitted under Colorado law, the Club's total liability to Member for any claim arising from this Agreement or Member's use of the Club shall not exceed the amount Member paid to the Club in the twelve (12) months preceding the claim. Nothing in this Agreement limits liability for the Club's gross negligence, willful misconduct, or any liability that cannot be limited under Colorado law.
10. General Terms

Governing Law: This Agreement is governed by the laws of the State of Colorado, without regard to conflict-of-law principles.

Entire Agreement: This Agreement, together with the Assumption of Risk, Release of Liability, and Waiver, constitutes the entire agreement between Member and the Club regarding membership and supersedes any prior oral or written understandings.

Severability: If any provision of this Agreement is found unenforceable, the remaining provisions remain in full force and effect.

Amendment: The Club may update Club rules and policies from time to time; material changes to fees or cancellation terms will be communicated as described in Section 3.

Minors: If you are under eighteen (18) years of age, a parent or legal guardian must complete checkout on your behalf and separately sign the accompanying waiver.
Electronic Agreement
By checking the box at checkout, you acknowledge that:

You have read and had the opportunity to review this Membership Agreement in full.

You agree to be bound by its terms, including the auto-renewal and cancellation terms described in Section 3, to the same extent as if you had signed a paper copy.

Your checkout confirmation, together with our records of your acceptance, serves as your electronic signature and acceptance of this Agreement under the Colorado Uniform Electronic Transactions Act.

This Agreement does not take the place of the separate Assumption of Risk, Release of Liability, and Waiver, which must be completed before you may access Club facilities or attend classes.
